1. Overview

1.1 Purpose of This Document

This document establishes the legal and governance framework for the hbar ecosystem. It defines boundaries, clarifies relationships, and specifies the nature of all activities conducted within or associated with hbar systems.

1.2 Scope of Authority

This document governs all domains, subdomains, systems, and subsystems operating under the hbar namespace, including but not limited to:

The hbar ecosystem is operated by an independent individual based in the United States. Where commercial services are provided, they are delivered under explicit contractual agreements. Formation of a legal entity structure is in progress.

Where commercial services or products are offered, the contracting party is the individual operator acting in their personal or trade capacity, unless a separate legal entity is explicitly identified in writing.

1.4 Authoritative Status

This document constitutes the primary coordinating legal framework for the hbar ecosystem. Where required by law, platform policy, or commercial operation, individual subsystems may publish supplemental terms or disclosures. In the absence of such supplemental terms, this document governs.

This document reflects the intent and interpretation of the operator of the hbar ecosystem. Automated tools may have assisted in drafting, but no automated system defines or governs this framework.

This document governs all hbar systems and provides the default legal framework unless supplemented by subsystem-specific terms or explicit written agreements.

2. Ecosystem Structure & Legal Categories

2.1 Nature of the hbar Ecosystem

The hbar ecosystem is a multi-domain system-of-systems architecture encompassing research, development, commercial activity, and exploratory work. Individual subsystems operate under distinct models and legal frameworks as specified in Section 6.

hbar is not a single incorporated legal entity. It is a collection of domains, projects, and services operated by a single individual under the hbar name.

Each hbar subsystem operates independently according to its stated category and legal framework. No subsystem implies shared liability, partnership, or unified legal identity across the ecosystem unless explicitly stated in writing.

2.3 Global Disclaimers

Regardless of category, no subsystem within the hbar ecosystem offers medical, legal, psychological, or other regulated services requiring professional licensure unless explicitly stated in writing. Specifically, no subsystem offers:

2.4 Contractual Supersession

Where explicit written agreements exist between parties and hbar subsystems, those agreements supersede this document to the extent of their specific terms. This document governs all interactions absent such explicit agreements.

2.5 Age Requirement

hbar systems are intended for individuals aged 18 years or older.

Minors may not engage with Category A (Commercial & Professional Services) or Category B (Products, Platforms & Infrastructure) subsystems. Access to exploratory or informational content by minors is permitted only under the supervision and responsibility of a parent or legal guardian.

2.6 Termination

Access to hbar systems or participation in any engagement may be terminated by either party at any time unless otherwise governed by a written agreement.

Upon termination, ownership of deliverables, data handling, and post-termination rights are governed by applicable contracts or, absent such contracts, by this document.

2.7 Assignment & Subcontracting

The operator may assign rights and obligations under this document or subcontract portions of work to collaborators or service providers, provided that such assignment or subcontracting does not materially reduce contractual protections.

This includes assignment to a future legal entity formed to operate hbar systems.

3. Definitions

3.1 hbar

"hbar" refers to the overarching namespace, conceptual framework, and collection of systems operating under the hbar designation. It is not a single legal entity but a coordinated architectural framework.

3.2 hbar.systems

"hbar.systems" refers to the coordinating and architectural layer of the hbar ecosystem. It defines system relationships, conceptual structure, and integration boundaries. hbar.systems may reference or link to tools, services, or commercial offerings operated elsewhere in the ecosystem, but does not itself transact, deliver services, or act as a service provider.

3.3 Subsystems

"Subsystems" refers to individual domains, subdomains, or functional components operating within the hbar ecosystem. Each subsystem is assigned to a legal category (A, B, or C) as specified in Section 6.

3.4 User

"User" refers to any individual who accesses, interacts with, or participates in any hbar system or subsystem. The nature of the relationship created depends on the subsystem category and any explicit agreements.

3.5 Client

"Client" refers to any individual or entity engaging with Category A subsystems under explicit contractual agreements for professional services.

3.5A Contracting Capacity

Where commercial services are provided, the contracting party is the individual operator acting in their personal or trade capacity, unless otherwise specified in writing.

3.6 Visitor

"Visitor" refers to any individual who views or accesses content within hbar systems without active participation or contractual relationship.

3.7 Collaboration

"Collaboration" refers to interaction between parties within hbar systems. The nature and binding status of collaboration depends on subsystem category and explicit agreements.

3.8 Artifact

"Artifact" refers to any output, document, code, design, or material produced within or published through hbar systems. Ownership and licensing terms vary by subsystem and transaction.

4. Jurisdiction & Governing Law

4.1 Governing Law

This document and all matters arising from or relating to hbar systems shall be governed by and construed in accordance with the laws of the Slovak Republic, without regard to conflict of law principles, subject to mandatory consumer protection laws applicable in the user's jurisdiction.

4.2 Jurisdictional Limitations

hbar systems make no representation that materials, content, or functionality are appropriate or available for use in any particular jurisdiction. Access to hbar systems from jurisdictions where such access is illegal is prohibited. Users accessing hbar systems from other jurisdictions do so at their own initiative and are responsible for compliance with local laws.

4.3 Dispute Resolution

Where permitted by applicable law, any dispute, claim, or controversy arising out of or relating to hbar systems shall be resolved through binding arbitration in accordance with the rules of a mutually agreed arbitration body, conducted in the Slovak Republic. Where permitted by applicable law, users waive any right to participate in class action litigation or class-wide arbitration.

Nothing in this section limits non-waivable statutory rights.

4.4 Severability

If any provision of this document is found to be unenforceable or invalid under applicable law, such unenforceability or invalidity shall not render this document unenforceable or invalid as a whole. Such provisions shall be modified to the minimum extent necessary to make them enforceable while preserving their intent.

4.5 Data Protection

hbar systems process personal data, if any, in accordance with applicable law.

No representation is made that any subsystem complies with specific data protection regimes (including GDPR, CCPA, or similar) unless explicitly agreed in writing. Data handling practices may vary by subsystem and engagement.

Users consent to data processing as reasonably necessary to operate the relevant subsystem. Data retention, deletion, and access rights are governed by applicable law and any explicit contractual terms.

4.6 Export Control & Sanctions

Users are responsible for compliance with applicable export control laws and economic sanctions. No representation is made that any system, tool, or artifact is authorized for export or use in all jurisdictions.

5. Limitation of Liability

5.1 Disclaimer of Liability

To the maximum extent permitted by applicable law, hbar systems and their operators, contributors, and affiliates shall not be liable for any damages of any kind arising from the use of or inability to use hbar systems, including but not limited to:

Under no circumstances shall hbar systems or their operators be liable for any consequential, indirect, or incidental damages, even if advised of the possibility of such damages.

5.3 Use at Own Risk

All use of hbar systems is entirely at the user's own risk. Users assume full responsibility for any consequences arising from their access to, use of, or reliance upon hbar systems, content, or artifacts.

5.4 Third-Party Content

hbar systems may contain links to or content from third parties. hbar systems are not responsible for and do not endorse any third-party content, and users access such content at their own risk.

5.5 Maximum Liability Cap

In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, the total liability of hbar systems and their operators for all claims shall not exceed the amount paid by the user, if any, for access to the specific subsystem giving rise to the claim.

5A. AI Systems & Automated Tools

5A.1 Responsibility Allocation

Systems, tools, and artifacts within the hbar ecosystem may generate outputs but do not operate autonomously or independently.

For Category A (Commercial & Professional Services) engagements: The operator is responsible for delivering the specific systems, analyses, or artifacts explicitly agreed upon in writing. Responsibility for deployment, operational use, modification, and downstream effects rests with the client unless otherwise agreed in a written contract.

For all other contexts: Responsibility for deployment, use, and downstream effects rests with the user or client.

No AI system, automated tool, or generated output is deployed, activated, or made operational without explicit human authorization and oversight.

5A.2 No Regulatory Compliance Guarantee

No representation is made that any system, tool, or artifact complies with sector-specific regulations, including but not limited to:

Compliance with applicable regulations is the sole responsibility of the deploying party unless explicitly agreed in writing as part of a contractual engagement.

No AI system within the hbar ecosystem is represented as a regulated or certified system under any jurisdiction.

5A.3 Data Usage & Training

Client data, proprietary information, or engagement-specific materials are not used to train generalized or publicly deployed models unless explicitly authorized by the client.

Experimental systems, research prototypes, or opt-in features may process aggregated or anonymized interaction data for internal improvement, research, or demonstration purposes, where clearly disclosed.

This clause applies to all Category A (Commercial & Professional Services) engagements and any other context where confidential or proprietary data is shared.

5B. Intellectual Property

Unless otherwise agreed in a written contract:

5B.1 Pre-Existing IP

The operator retains all right, title, and interest in any pre-existing tools, frameworks, methodologies, code, models, templates, or systems developed prior to or independently of any engagement ("Background IP").

5B.2 Category A Engagements

Ownership of work product, deliverables, or artifacts created during Category A (Commercial & Professional Services) engagements is governed exclusively by the applicable written agreement. No transfer of intellectual property is implied absent explicit written terms.

5B.3 Category B Products

Products, tools, or digital artifacts made available through Category B subsystems are licensed, not sold, unless explicitly stated otherwise. Licensing terms are defined per product.

5B.4 Category C Artifacts

Artifacts published within exploratory or non-binding subsystems are provided for informational or experimental purposes only. No ownership transfer or license beyond viewing or personal use is granted unless explicitly stated.

5B.5 User-Provided Materials

Users and clients retain ownership of materials they provide. The operator is granted a limited, non-exclusive right to use such materials solely for the purposes of providing the relevant service or operating the relevant subsystem.

5C. Indemnification

Users and clients agree to indemnify, defend, and hold harmless the operator, contributors, and affiliates from any claims, liabilities, damages, losses, or expenses arising from:

5C.1 Deployment & Use

Deployment, modification, or use of systems, tools, or artifacts beyond their intended or agreed scope.

5C.2 Legal Violations

Violation of applicable laws, regulations, or third-party rights by the user or client.

5C.3 Downstream Use

Downstream use, redistribution, or commercialization of outputs.

This indemnification obligation applies regardless of whether the system, tool, or artifact was created under a Category A, B, or C subsystem.

5D. Force Majeure

The operator shall not be liable for any delay or failure to perform resulting from events beyond reasonable control, including but not limited to natural disasters, acts of war, labor disputes, government actions, infrastructure failures, or internet outages.

6. Subsystem-Specific Legal Clarifications

Each subsystem within the hbar ecosystem operates under one of three legal categories. The following clarifications specify the category, scope, and legal framework for each subsystem.

6.1 hbar.systems

Category C: Exploratory & Non-Binding

Scope of Activity

hbar.systems functions as the coordinating and architectural layer of the hbar ecosystem. It defines system relationships, conceptual structure, and integration boundaries.

Legal Framework

hbar.systems may reference or link to tools, services, or commercial offerings operated elsewhere in the ecosystem, but it does not itself transact, deliver services, or act as a service provider. Individual systems define their own operational terms under the global hbar legal framework.

6.2 BrainFoundry

Category A: Commercial & Professional Services

Scope of Activity

BrainFoundry operates as a selective, bespoke AI systems practice. Engagements, if accepted, may involve paid professional services delivered under explicit, private agreements.

Legal Framework

BrainFoundry is not a self-service platform, mass-market SaaS, or automated infrastructure service. No implied access, continuity, or availability is granted without written agreement.

Client relationships are governed by explicit scopes of work. Services may include system design, implementation, and strategic consultation.

Responsibility Allocation

BrainFoundry is responsible for delivering the specific systems, analyses, or artifacts explicitly agreed upon in writing. Responsibility for deployment, operational use, modification, and downstream effects rests with the client unless otherwise agreed in a written contract.

6.3 hbar.work

Category A: Commercial & Professional Services

Scope of Activity

hbar.work facilitates structured mentorship, advisory relationships, and applied collaboration. These engagements may be paid or unpaid and are governed by explicit scope, duration, and intent.

Legal Framework

Participation in hbar.work does not constitute employment, clinical therapy, legal counsel, or fiduciary duty unless explicitly agreed in writing.

Mentorship and advisory relationships are professional in nature but do not create obligations beyond those explicitly contracted.

6.4 hbar.agency

Category A: Commercial & Professional Services

Scope of Activity
